Conflicts of interest policy
Last updated:
We advise and we invest, and we say so
G2 Investment Banking is part of a group with venture capital (G2 Momentum Capital) and private credit (G2 Credit Platform) vehicles. We believe that combination brings judgement to our clients: we know how an investment committee decides because we sit on one. We also believe it is only acceptable if the rules governing it are public and verifiable. This policy sets them out.
1. Written consent
A group vehicle may participate in a transaction advised by G2 Investment Banking only with the client’s prior written consent. The client may withhold it without any effect on the mandate.
2. Same terms
When it participates, the vehicle does so on the same economic and governance terms as the other investors or lenders in the transaction. It receives no preferential conditions, additional information or rights different from those obtained by any other participant of the same class.
3. No privileged process information
The vehicle’s team has no access to the process information G2 Investment Banking manages for the client: it does not know the offers, the terms or the identity of the other participants before the client decides to disclose them to all interested parties on the same conditions. The advisory and investment teams keep separate files and information.
4. Never on the buy side
G2 Investment Banking does not advise sale processes in which a group vehicle acts as buyer, nor acquisition processes in which a group vehicle is the seller.
5. Portfolio companies
When a company in which a group vehicle is already an investor engages G2 Investment Banking, the firm discloses this to all counterparties in the process from first contact.
6. Public transparency
Every transaction involving a group vehicle is identified as such in the transactions gallery on this site and in the materials the firm publishes about it.
7. Fees
G2 Investment Banking’s fees are agreed with the client and do not vary depending on whether a group vehicle participates in the transaction.
8. Oversight
Compliance with this policy is the responsibility of the partners of G2 Investment Banking. Any client or counterparty may raise a question or concern about a potential conflict by writing to contacto@g2-consultores.com.
