    Weeks 2–5

We build the financial model, the valuation and the materials to the level of detail an investment committee requires.

We select funds by thesis and stage, make the introductions, coordinate meetings and manage follow-up with each investor.

We negotiate economic and governance terms and coordinate responses to financial, legal and technical due diligence.

  5. Definitive documents and closing

We support the negotiation of the definitive documents alongside counsel through signing and funding.

Frequently asked questions

How are your fees structured?

An initial retainer on signing the mandate, plus a success fee calculated on the capital actually closed. The exact structure is agreed at the first meeting based on the size and complexity of the round.

Do you require exclusivity?

Yes, for the duration of the process. An exclusive mandate lets us represent the company with a single voice before investors and prevents two intermediaries from approaching the same fund, which damages the perception of the round.

What documentation do you need to start?

Historical financial statements, monthly operating metrics, an up-to-date cap table, corporate documents and the business plan in whatever state it is. With that we run the initial diagnosis; the rest is built during the mandate.

How long does a round take?

It varies widely: from sixteen weeks to twelve months between signing the mandate and closing. It depends on how orderly the information is on arrival, whether the cap table needs restructuring and whether the process requires regulatory due diligence.

Do you work with international funds?

Yes. A good share of the rounds we advise include funds based outside Mexico. The investor list is built by thesis and stage, not by geography, and materials are prepared in Spanish and English.
