G2

Capital raising

A round is not won in the pitch; it is won in the preparation and the process. We build the model and valuation the way an investment committee will read them, design the investor list by thesis and stage, run a process against a calendar, and negotiate the term sheet and definitive documents through closing. We have closed pre-seed to Series A rounds with Kalonia, Amador Ventures, LDM Capital, GC Capital and Oikocredit, among others.

When to call G2

  • You have demonstrable traction and need between one and fifteen million dollars for the next eighteen to twenty-four months.
  • You have received investor interest but have no process, no calendar and no defensible valuation.
  • Your cap table or corporate structure is not ready for an institutional investor.
About the practice

Debt and structured financing

Growing without dilution is possible when revenue, receivables or contracts can support debt, and when your advisor knows who actually lends to startups in the region. We structure venture debt, revolving lines, warehouse facilities and private credit; prepare the information the way a credit committee requires it; and negotiate pricing, covenants and security with debt funds, development banks and specialised platforms. We advised Baubap’s first debt facility with Alfin and YoFio’s seed round, which combined equity and debt with Oikocredit.

When to call G2

  • You have recurring revenue, a loan book or signed contracts that can support a debt line.
  • You want to extend your runway or fund loan book growth without giving up more equity.
  • You need your first institutional line and do not know what information a credit committee will ask for.
About the practice

Mergers and acquisitions

Selling a company is a process, not a conversation. We prepare the materials, build the universe of strategic and financial buyers in and beyond Mexico, run a competitive and discreet process, and negotiate price, structure and certainty of close through signing. On the buy side, we identify targets and execute acquisitions, including regulated entities. We advised the sale of Cacao to Dock, Zenda.la to Intelexion and Gestionix to Konfio, and Belo’s acquisition of an IFPE-licensed entity.

When to call G2

  • You have received an unsolicited offer and need to know whether it is good and how to create alternatives.
  • Shareholders want to explore a full or partial sale discreetly with respect to customers, team and competitors.
  • You want to acquire a company, an asset or a regulated entity to accelerate your strategy.

Capabilities

Behind every mandate there is technical work we also offer on its own when a company needs it before a transaction: the financial model a committee will read, the valuation that will withstand a negotiation, the information organized the way a buyer will audit it, and the financial leadership a process demands while the team keeps running the business.

When to call G2

  • You need a three-statement financial model with scenarios before talking to investors or lenders.
  • You need an independent valuation for a negotiation between shareholders, an option grant or a transaction.
  • You are about to enter due diligence and want to arrive with financial, legal and operating information in order.
