On 28 May 2026 BBB Foods Inc., the operator of Tiendas 3B, priced a follow-on offering of Class A shares on the New York Stock Exchange at USD 32.50 per share, closing on 1 June with 15,299,800 shares and USD 497.2 million. The offering was mostly secondary: close to USD 400 million went to selling shareholders and between USD 85.5 and 87.6 million to the company.
The transaction
The base offering was 13,304,174 shares: 700,000 primary and 12,604,174 from selling shareholders, with an over-allotment option of 1,995,626 shares. At closing on 1 June 2026, 15,299,800 shares were placed, with the over-allotment exercised, for USD 497.2 million gross. Selling shareholders received between USD 399.8 and 409.6 million depending on the source; the company, around USD 85.5 million according to Simpson Thacher, or USD 87.6 million for 2,695,625 shares according to Axis Negocios. The difference between the two figures is not explained in the sources reviewed. J.P. Morgan and Morgan Stanley acted as coordinators; BTG Pactual, Santander and Scotiabank completed the syndicate. Among the sellers, the chief executive, Anthony Hatoum, sold 150,000 shares, close to USD 4.8 million.
Context: the stock had gained 107.6% since the February 2024 IPO, which raised USD 677 million and was recognised by LatinFinance as initial public offering of the year. For 2026 the company guides capital expenditure of around MXN 5,250 million, 48% more than the previous year, and up to 630 store openings.
Value drivers
Liquidity on performance. The stock doubled since the IPO. In our reading, the follow-on is the orderly mechanism for pre-IPO shareholders to sell without pressuring the price in the open market and with a syndicate managing demand.
Minimal primary. The company took less than 18% of the deal: enough to accompany capex growing 48% without diluting more than necessary. With USD 87.6 million for 2,695,625 shares, the primary portion corresponds to the 700,000 base shares plus the over-allotment.
A first-tier syndicate. Two US coordinators and three banks with a presence in the region. In our reading, the composition of the syndicate indicates the placement targeted both global institutional investors and the regional holders that have followed the issuer since 2024.
A model audited by the market. Two years of quarterly reporting since the IPO allowed investors to assess the discount model on public information before absorbing close to USD 500 million in a single transaction.
What the market is signalling
For Mexican consumer issuers, the signal is that the New York Stock Exchange remains open for growth stories with disciplined reporting: 3B placed its second sizeable transaction in two years and did so with a majority of secondary shares, meaning the market absorbed shareholder exits and not only growth capital. For funds and financial sponsors holding positions in Mexican companies, the orderly follow-on is the partial exit route after an IPO; the case shows that a 107.6% gain and a five-bank syndicate are the conditions for executing it.
For founders, the sale of 150,000 shares by the chief executive, less than 1% of the deal, indicates that management liquidity is handled with discretion relative to the funds. In our reading, the pattern repeats in Klarna’s initial public offering in September 2025, where USD 1.17 billion of the USD 1.37 billion placed was secondary: in the public markets of 2025 and 2026, offerings serve to organise investor exits more than to raise primary capital.
G2’s reading for a mandate
A follow-on is prepared from the IPO onwards: staggered lock-up agreements among sellers, a primary size defined by the investment plan and not by the book’s appetite, and a syndicate combining global coordinators with banks that know the regional holder base. In our reading, the adviser’s job is to coordinate the selling shareholders so the transaction reads as orderly liquidity rather than an exit.
