This note gathers the public transaction activity we use to place a mandate in retail tech: e-commerce, marketplaces, quick commerce and B2B commerce for small retailers. Every figure carries its source and date. We include no estimates of our own.
Capital raising
BBB Foods (Tiendas 3B) raised USD 677 million on the New York Stock Exchange in February 2024, USD 589 million in Class A shares and USD 88 million from an anchor investor, at USD 17.50 per share, with BofA, JP Morgan, Morgan Stanley, Scotiabank and UBS as bookrunners; LatinFinance named it IPO of the year (LatinFinance, January 2025). In April 2026 the company raised its 2026 capital expenditure 48% to about MXN 5.25 billion to open up to 630 stores (Axis Negocios, April 2026).
Jüsto raised USD 70 million led by General Atlantic in October 2024, with more than USD 300 million raised in total, and ceased operations in Mexico on 15 December 2025 (Startups Latam, December 2025). It is the case an investment committee puts on the table today when it evaluates a digital supermarket.
Rintin, a B2B marketplace for small retailers in the region, raised USD 6.2 million led by Cometa in August 2026, with FJ Labs, Newtopia and Latin Leap, combining wholesale supply, credit and logistics (Ecosistema Startup, August 2026). AMEXCAP-affiliated funds invested USD 1,614 million in Mexican startups in 2025, concentrated in fintech, e-commerce and artificial intelligence (Observatorio Global UDLAP, June 2026).
Debt and structured financing
Rappi secured a USD 100 million credit line led by Kirkoswald Capital and Santander in August 2025 to expand Rappi Turbo into supermarket, pharmacy and restaurant missions in Mexico, with 10 to 12 minute deliveries (Emprendedor, August 2025). This is debt for delivery capacity and inventory, not for operating losses: Rappi reports four consecutive quarters of positive EBITDA.
Mercado Libre announced USD 4.6 billion of investment in Mexico for 2026, 35% more than in 2025, in infrastructure, technology and Mercado Pago financial services (Infobae, June 2026). The incumbent’s scale sets the cost of capital against which any logistics or payments platform in the sector competes.
Mergers and acquisitions
Amazon entered Rappi in September 2025 with a USD 25 million convertible note and warrants to acquire up to 12% of the company subject to milestones (PYMNTS, September 2025). It is the typical structure of a strategic buyer purchasing an option on the last mile before paying for it.
Grupo OMNi acquired Jüsto in January 2026 with a USD 100 million commitment for the first year; General Atlantic and FEMSA remain as investors and HSBC as lender (Eje Central, January 2026). A month after the shutdown, the buyer paid for the brand, the operation and the supplier relationships, not for the last round’s valuation.
Tiendas 3B competes for the same customer base as the digital platforms, with 574 openings in 2025 and 3,346 stores, while online sales of ANTAD member chains grew 23.8% against 3.1% same-store (ANTAD, February 2026). The chains are buyers of omnichannel technology, retail media and fulfilment software.
Market context
MXN 941 billion of online retail sales in 2025, up 19.2%, with 17.7% penetration and 77.2 million shoppers (AMVO, March 2026). 1,113,420 grocery and food outlets, almost all with ten employees or fewer (INEGI, DENUE, May 2026). Tariffs of 5% to 50% on more than 1,400 tariff lines from countries without a trade agreement since 1 January 2026 (Xataka México, December 2025), shifting direct-from-Asia shipping toward bulk import and local distribution. 841,156 businesses adopted digital collection between September 2025 and June 2026 (Xataka México, September 2026).
G2’s reading for a mandate
In retail tech the strategic buyer pays for the network of active merchants, repurchase frequency and in-house logistics; the equity investor pays for unit economics per order. The sequence that works best for a platform with inventory or credit is to close balance-sheet debt first, as Rappi did, and arrive at the equity round with the margin per order proven. For a B2B supply platform serving corner stores, the credit book is reviewed with a fintech’s rigour, because the book is the business.
