On 9 June 2026 Asaas, a Brazilian payments, collections and financial management platform for SMBs, announced the acquisition of HelenaCRM for BRL 150 million (about USD 29 million, the equivalent reported by LatamList). It is Asaas’s fifth acquisition, its second of 2026 after Mutuus, and the largest in its history. It matters because it joins collections with the commercial conversation on WhatsApp, the channel where Latin American SMBs sell.
The transaction
- Parties. Asaas, backed by BOND, SoftBank, 23S and Vivo Ventures and holding payment institution (IP) and direct credit company (SCD) licences from the Central Bank of Brazil, as buyer; HelenaCRM, led by Guilherme Rocha, as target.
- Size. BRL 150 million. Payment structure, deferred component and multiple not disclosed.
- Structure. Helena will operate as an independent subsidiary until the end of 2028; full integration by the end of 2029.
- Asset. WhatsApp-native conversational and agentic CRM, integrated with Instagram and Facebook, with more than 500 distribution partners and Meta Certified Business Solution Provider status. According to Asaas, 35% of Helena’s partners already used Asaas.
- Buyer context. Revenue of BRL 560 million in 2025, net profit growth of 234%, more than 220,000 clients and a revenue target of BRL 1 billion for 2026. In September 2025 Vivo Ventures bought BRL 35 million of Asaas shares from Parallax in a secondary.
- Status. Announced. Regulatory approvals not mentioned in the sources.
Value drivers
Channel before product. Helena’s more than 500 partners and its Meta certification are distribution, not software. In our reading, Asaas is paying for a channel that already overlaps 35% with its own and that can carry collections and credit into the sales conversation.
Closing the commercial loop. Piero Contezini, chairman and co-founder of Asaas, described the goal: for the client to automate the entire sales process, from lead generation to invoicing, with conversational models. Payment is the last step in that chain, and Asaas already controls it.
Deferred integration. Keeping Helena independent until 2028 protects the team, the partners and the product cadence (voice and AI analytics in development). A timeline like this usually accompanies deferred price components; the sources do not disclose the payment structure.
Profitability that funds acquisitions. A buyer with net profit growing 234% and a target of nearly doubling revenue can pay without raising capital. Five acquisitions (Base ERP, CodeMoney, Nexinvoice, Mutuus and Helena) show a programme, not an isolated opportunity.
What the market is signalling
For a Mexican SaaS founder with WhatsApp distribution, the signal is that the natural buyer may be a profitable payments fintech, not another software company. In Mexico, where WhatsApp is the SMB’s commercial channel and collections platforms compete for the same client, a conversational CRM with a partner network has a strategic buyer in the region.
For Mexican buyers in payments and ERP, the case establishes that the price of such an asset rests on partners, certifications and client overlap, and that integration can be deferred for years without losing the thesis. A buyer demanding immediate integration will compete at a disadvantage against one offering autonomy.
For lenders, the reference is the buyer: recurring revenue, regulatory licences and profits allow acquisitions to be financed with debt or with the company’s own cash flow.
G2’s reading for a mandate
In a sale of this kind, the seller must document the partner network as an asset: contracts, exclusivity, revenue per partner and overlap with the buyer’s base. It must also negotiate the autonomy period and the metrics of any earn-out before signing the term sheet, because those are the terms that define the real value of the announced price.
