On 28 January 2026 Asaas, a Brazilian payments and financial management platform for SMEs, announced the acquisition of 100% of Mutuus Seguros, a Brazilian digital broker with seven years of operations specialising in complex commercial lines. A necessary clarification: this is the Brazilian Mutuus, unrelated to the Mexican health-membership insurtech of the same name. The deal matters because it shows a payments processor buying insurance distribution, not technology, to monetise an installed base.
The transaction
- Parties. Asaas, with more than 240,000 clients, as strategic buyer; Mutuus Seguros as target. It is Asaas’ fourth acquisition in five years (Asaas, 28 January 2026).
- Perimeter. 100% of the equity. The business operates under the “Mutuus by Asaas” brand.
- Price and structure. Not disclosed. Mutuus’ revenue, commissions and book were not disclosed either.
- Asset acquired. A digital broker placing cyber, credit, liability and engineering insurance for small and medium-sized companies, lines that require specialised underwriting.
- Stated objective. Build an insurance vertical with BRL 130 million of revenue by 2029 (Asaas).
- Status. No regulatory conditions were reported; the deal was announced and the business already operates under the new brand (LatamList, 4 February 2026).
Value drivers
Distribution over an installed base. Asaas already knows the invoicing, collections and payments of 240,000 SMEs. In our reading, Mutuus’ value lies in turning that data into commercial insurance quotes at a very low acquisition cost, something an independent broker cannot replicate.
Complex lines, not mass lines. Cyber, credit, liability and engineering are technically underwritten products and, in our reading, face less price competition than mass products, which protects the broker’s commission and justifies embedding them in a platform that already owns the client relationship.
Buy versus build. Obtaining broker registration with SUSEP, training underwriters and signing capacity agreements with carriers takes time; buying a broker with seven years of operations saves it. It is the same logic that led PicPay to buy Kovr weeks later, with a larger ticket and three licences.
Revenue target as anchor. With no disclosed price, the only economic data point is the BRL 130 million target for 2029. In our reading, that is the figure Asaas defends before its board, and it suggests the price paid is justified by future rather than current revenue.
What the market is signalling
For digital brokers in the region, the signal is that the natural buyer is not a carrier but a platform with an installed base: payments, invoicing, payroll or digital banking. Whoever owns the SME relationship wants to add insurance as a revenue line, and prefers buying the broker to building the capability.
In Mexico, payments, invoicing and SME software platforms have comparable or larger bases, and in the period we recorded no acquisition of a digital broker by any of them. In our reading, Mexican brokers with a valid licence, a commercial-lines book and issuance technology are candidates, and their valuation will depend less on current revenue than on the size of the base they plug into.
For carriers, the effect is that SME commercial-lines distribution migrates towards platforms that control the data; competing for that channel will require capacity agreements with those platforms, not only with the broker.
G2’s reading for a mandate
A digital broker weighing a sale should prepare the sell-side process with non-carrier buyers in mind: payments platforms, management software, digital banks and ERPs. The relevant documentation changes: beyond commissions by line and policy retention, it must show conversion rate per platform client, revenue per connected SME and the transferability of the broker licence. In our reading, a competitive process with three or four platforms and one carrier as a price reference produces better terms than a bilateral negotiation.
