Betterfly, a Santiago-based wellness and benefits platform with insurance, announced on 15 and 16 June 2026 the acquisition of Minu, a Mexico City financial wellness fintech with earned wage access and meal vouchers. It matters because a regional strategic buyer, not a traditional insurer, is consolidating in Mexico, and because the reported price is paid in debt and stock.
The transaction
Expansión and Diario Financiero report a price of USD 100 million paid with debt and stock; LatamList puts it at approximately USD 100 million. Ecosistema Startup, by contrast, states that the parties did not disclose the amount. The split between debt and stock was not disclosed. Negotiations lasted six months (Ecosistema Startup); no source mentions regulatory approvals.
Minu, founded in 2019 by Nima Pourshasb, Rafael Niell and Paolo Rizzi, serves more than 2,000 corporate clients with more than one million users; it had raised more than USD 50 million (LatamList). It will initially operate as “minu by Betterfly”. The combined operation totals more than one million employees, close to 4,000 companies in Mexico and about 250 staff, with a plan to triple its presence in Mexico within three years and to use the country as the gateway to the United States, where Betterfly has launched in Florida and Texas.
Value drivers
A corporate base in Mexico. Minu’s 2,000 clients and the combined one million users are, in our reading, what Betterfly is buying: distribution in the market that contributes a third of its revenue, on a par with Chile and Spain (Diario Financiero).
A complementary product. Minu adds the financial wellness layer to a benefits and insurance platform. In our reading, cross-selling over the same payroll is the central synergy and explains why the brand is kept at the outset.
A debt and stock structure. Betterfly states four to five years of cash runway and close to 4,500 clients with renewal near 100% (Diario Financiero). In our reading, paying with stock and debt preserves that cash and ties Minu’s shareholders to the outcome of the US expansion. QED Investors and Endeavor Catalyst are investors in both companies (Expansión), which makes the buyer’s stock easier to accept as currency.
Price against capital invested. If the reported USD 100 million price is correct, it equals less than twice the capital Minu had raised, before any liquidation preference; the return to each shareholder will depend on the structure, not on the headline.
What the market is signalling
The transaction joins a regional consolidation led by platforms and fintechs, not insurers: Asaas bought the digital broker Mutuus in Brazil in January, price undisclosed, and PicPay paid BRL 657.6 million for Kovr between February and July (Metrópoles). Betterfly, which closed Colombia, Ecuador, Peru, Argentina and Brazil in March 2025 (Diario Financiero), is concentrating its bet on Mexico and the United States.
For Mexico the read-across is threefold. For insurers and benefits administrators, a competitor appears with 4,000 companies and one million employees on digital payroll, able to distribute life and health over that base. For Mexican founders, the case shows that an exit to a regional strategic is paid in the buyer’s paper and debt, and that real value depends on the stock received: Betterfly’s last known valuation is the USD 125 million Series C at USD 1 billion in February 2022. For Mexican strategic buyers, the signal is that the country’s corporate distribution assets are already being awarded to foreign acquirers.
G2’s reading for a mandate
In a sale to a strategic paying in stock and debt, the sell-side mandate becomes bilateral: the buyer’s stock must be valued with the same discipline as the asset being sold, with reverse due diligence on its cash, its US plans and its capital structure. The competitive process should include buyers paying cash, even at a lower headline price, to set the discount accepted for receiving paper; and the agreement must cover liquidation preferences, protection against later rounds, team retention and the brand.
