In September 2025 Kapital Grupo Financiero closed a Series C led by Tribe Capital at a USD 1.3 billion valuation, two weeks after announcing the acquisition of the businesses of Intercam Grupo Financiero, a group placed under CNBV control after the FinCEN designation of June 2025. The sequence, a purchase of regulated assets and fresh equity in the same month, is unusual in Mexico and is why we analyse both transactions together.
The transaction
Series C: USD 86 million according to Yahoo Noticias and Descubre.vc; USD 100 million according to Mexico News Daily and FintechExpert; the discrepancy is unresolved in public sources. Tribe Capital led; Pelion Ventures co-led; Y Combinator, Marbruck and True Arrow participated. Valuation USD 1.3 billion, double the prior mark in under two years.
Acquisition: Kapital Bank (a fintech converted into a bank through the purchase of Banco Autofin in 2023) agreed on 19 and 20 August 2025 to acquire Intercam Banco (assets, liabilities, branches and trust business), Intercam Casa de Bolsa and Intercam Fondos. Price not disclosed; Kapital committed to inject USD 100 million at closing; Intercam’s compliance staff were excluded; K2 Integrity performed the due diligence. On 1 September 2025 the group adopted the name Kapital Grupo Financiero. On 24 December 2025 the SHCP published in the DOF the authorisation of the spin-off, without extinction, of Intercam Grupo Financiero to form a new company, with favourable opinions from Banxico and the CNBV; Banco Autofin was folded into the restructured group. Approval by the Comisión Nacional Antimonopolio does not appear in the sources reviewed.
Scale: Intercam assets of MXN 94,483 million against MXN 20,881 million for Kapital Bank, MXN 115,364 million combined (El CEO, August 2025); about 180,000 additional clients and 800,000 pensioners served; around USD 3 billion under management in the United States, Mexico and Colombia.
Value drivers
Licences and balance sheet at an intervention price. Kapital added a brokerage, a fund manager and a bank with branches and a trust business in a single transaction with a seller under regulatory control. In our reading, the undisclosed price and the exclusion of the compliance function indicate that it paid for assets and clients, not for the franchise.
Profitability reported before the round. The company states it reached profitability in under two years, a USD 3 billion balance sheet and 300,000 clients in three countries. That is what allowed the valuation to double in under two years.
Capital committed at closing. The USD 100 million injection was a condition of the acquisition and matches the Series C amount reported by part of the press. In our reading, the round was sized to meet the regulatory commitment, which is why the gap between 86 and 100 million is not trivial.
Integrity diligence. Retaining K2 Integrity for the due diligence of a seller designated by FinCEN was part of the price of the authorisation.
What the market is signalling
For fintechs with a banking licence, the case shows that a regulated balance sheet and available capital allow the purchase of assets from intervened institutions with SHCP, Banxico and CNBV authorisation in four months. The buyer of CI Casa de Bolsa, the other piece of the FinCEN episode, was Trafalgar, a newly licensed Sofipo, and its formalisation ran until August 2026.
For growth funds, the Series C sets a USD 1.3 billion valuation for an SME digital bank with declared profitability, against the USD 3.1 billion Plata obtained one month later. For sellers under regulatory stress, the undisclosed price and the exclusion of staff show the terms a buyer can demand.
G2’s reading for a mandate
Buying assets from an intervened entity requires preparing in parallel the regulatory file, the integrity due diligence and the capital committed at closing. In our reading, a buyer that arrives with the round closed and the capital provider identified negotiates from strength against a seller whose calendar is set by the regulator.
