The transaction
Issuer: MercadoLibre, Inc. (Nasdaq: MELI). Instrument: USD 750 million of senior unsecured notes, 4.900% coupon, maturing in 2033, under an indenture dated 4 December 2025 and reported in the 8-K of 5 December. Guarantors include DeRemate.com de México, MPFS and MP Agregador. Stated use of proceeds: general corporate purposes and liquidity. The issue was made under the S-3ASR shelf of 17 November 2025. Issue price, underwriters and book demand are not detailed in the documents reviewed.
Operating context from the third quarter of 2025, reported on 29 October: gross merchandise volume of USD 16.5 billion (+28%), revenue of USD 7,409 million (+39%) and net income of USD 421 million, a 5.7% margin. In Mexico, items sold +42%, FX-neutral GMV +34%, acquiring TPV +53% and more than one million active POS terminals. The company deployed USD 1.73 billion into its credit portfolio in the quarter.
On 10 June 2026 Marcelo Ebrard and Pedro Rivas announced a USD 4.6 billion commitment in Mexico for 2026, across capex and operating spend, 35% more than the previous year and the company’s largest annual figure in the country, for logistics, technology, payments and financial services, with 8,500 jobs across 19 states and more than one million SMEs served.
Value drivers
Scale with profit. Revenue growing 39% with USD 421 million of net income in the quarter. In our reading, the 4.900% eight-year coupon is explained by an issuer that no longer depends on the market to operate and uses debt to lower the cost of its balance sheet.
Guarantors where the cash flow is. The presence of Mexican subsidiaries among the guarantors shows where the cash flow backing the paper is generated. Mexico is the market where the quarter reported 42% growth in items sold and 53% in acquiring.
A financial balance sheet that needs funding. USD 1.73 billion deployed into the credit portfolio in one quarter. The stated use of the notes is general, but in our reading fixed-rate corporate liquidity frees capacity for the portfolio to grow with other sources.
Automatic shelf. The S-3ASR allows issuance within days when the window opens. The notes were placed 17 days after the filing.
What the market is signalling
For e-commerce and payments issuers in the region, 4.900% to 2033 in dollars is the reference cost of unsecured debt for a profitable operator with a Mexican presence; comparables without recurring profit will keep funding portfolios with private credit, warehouse lines or securitisations, not corporate paper. For lenders to Mexican platforms, the signal is that local operating subsidiaries guarantee the group’s debt, and it pays to map which entity concentrates cash flow before structuring a facility.
For founders and buyers in Mexico, the USD 4.6 billion plan for 2026 sets the investment level of the reference competitor in logistics, payments and credit. With more than one million active terminals and more than one million SMEs served, the platform competes for the same merchants as acquiring fintechs and B2B supply platforms. In our reading, anyone raising capital in Mexican retail tech will need to explain why their segment does not fall inside that plan.
G2’s reading for a mandate
For a Mexican company preparing its first issue or a debt facility, the case shows three pieces a credit committee will review: recurring profit, guarantors in the entities that generate cash flow and documentation ready to issue when there is a window. In our reading, preparation starts with organising guarantees and information by entity before discussing the rate.
