Between February and July 2026, PicPay, the digital bank controlled by the J&F group, filed and closed the purchase of Kovr Participações, the holding that controls Kovr Seguradora, Kovr Previdência, Kovr Capitalização and the broker Estrutural. The price, BRL 657.6 million according to Metrópoles, was kept confidential in the Cade filing. It is the largest deal we recorded in Latin American digital insurance this period, and an unusual case of a digital bank acquiring three insurance licences at once.
The transaction
- Parties. PicPay (J&F) as strategic buyer. Sellers: Thiago de Moura, Eduardo Viegas and Renato Rennó, the three executives who had acquired Kovr through a management buyout from the Banco Master orbit before this deal (Metrópoles, 8 March 2026).
- Perimeter. Kovr Participações with its three operating licences (insurance, pensions and capitalisation) and the broker Estrutural.
- Price. BRL 657.6 million (Metrópoles). Times Brasil reports the value was filed confidentially with Cade. Payment structure, adjustments and contingent payments not disclosed.
- Approvals. Cade approved without restrictions on 11 May 2026 (CQCS, 12 May 2026); SUSEP authorised in May 2026; the Central Bank granted final approval on 23 July 2026 (Finsiders, 23 July 2026).
- Special review. Cade examined whether the executives’ prior buyout had been a simulated transaction (Metrópoles). Approval was unconditional.
- Metrics. Kovr’s premiums, reserves and results not disclosed.
Value drivers
Three licences in one close. Obtaining SUSEP authorisations separately to operate insurance, pensions and capitalisation requires time and locked-up capital. In our reading, PicPay is paying for time: the ticket buys the ability to sell all three products to its user base without waiting for three licensing processes, and replicates in a digital bank the bancassurance model of Brazil’s incumbent banks.
A seller with history. The asset left the Banco Master orbit through an executive buyout and was sold months later. Cade reviewed that sequence before approving. For the price, the relevant fact is that approval was unconditional; for due diligence, that the origin of control was subject to public scrutiny.
Scarcity. Operating insurance licences without a bank behind them are few. In our reading, the price reflects the scarcity of the asset more than its metrics, which were not published.
What the market is signalling
For the region’s digital banks, the signal is that the entry route into insurance is no longer only a distribution partnership but ownership of the licence. The ticket far exceeds any insurtech equity round of the period, and the buyer is a bank, not a fund.
In Mexico, digital banks and licensed fintechs already distribute third-party insurance; buying a CNSF-authorised insurer would be the equivalent step. In our reading, mid-sized Mexican insurers with life, P&C or pension licences and shareholders willing to sell are the comparable assets, and their price will be set by the scarcity of licences before their premiums.
For sellers, the calendar is the lesson: about five months between the Cade filing in February and Central Bank approval in July, with three authorities in sequence. In Mexico the route would run through the CNSF, Cofece and, depending on the buyer, the CNBV; the contract must reflect that path in conditions precedent and deadlines.
G2’s reading for a mandate
To sell an authorised insurer to a regulated buyer, the mandate must design the calendar around approvals: identify from the outset which authorities are involved, prepare the file on origin of control and ultimate beneficial owners before opening the data room, and negotiate in the contract conditions precedent, long-stop dates and price adjustment mechanisms for the period between signing and closing. A recent or complex control history, such as Kovr’s, does not prevent a sale, but it must be documented before the counterparty discovers it.
