On 1 October 2025, Rocket Companies (NYSE: RKT), the largest mortgage originator in the United States and owner of Rocket Mortgage and, since July 2025, of Redfin, closed the acquisition of Mr. Cooper Group, the country’s largest mortgage servicer, for USD 14.2 billion in stock. We include this US transaction as a reference for Mexico: it shows how servicing scale is paid for, how a stock currency reprices a deal between signing and closing, and how a regulator can condition a mortgage consolidation.
The transaction
- Parties. Rocket Companies (Detroit) as strategic buyer; Mr. Cooper Group (Dallas) as seller. Advisers: J.P. Morgan and Paul, Weiss for Rocket; Citigroup, Wachtell and Bradley Arant for Mr. Cooper (PR Newswire, 1 October 2025).
- Instrument and price. All-stock: 11 Rocket shares per Mr. Cooper share, plus a USD 2 per share dividend cited in the announcement. The value rose from USD 9.4 billion at announcement, in March 2025, to USD 14.2 billion at closing, as Rocket’s stock appreciated under a fixed exchange ratio.
- Approvals. Mr. Cooper shareholders approved in September 2025. On 26 August 2025 the FHFA allowed Fannie Mae and Freddie Mac to approve the transaction with safeguards: no servicer may exceed 20% of each enterprise’s servicing market.
- Combined metrics. Nearly 10 million homeowners serviced and USD 2.1 trillion in balances, “one in every six mortgages in the country” in the company’s words; estimated synergies of USD 400 million a year in costs and USD 100 million in revenue.
- Status. Closed on 1 October 2025. The earlier purchase of Redfin, for USD 1.75 billion in stock, closed on 1 July 2025.
Value drivers
Scale in servicing. A USD 2.1 trillion balance makes Rocket the monthly point of contact for one in six US mortgage borrowers. In our reading, Rocket is buying the borrower relationship: each refinancing or sale by those homeowners can be originated on the platform rather than lost to a competitor.
Stock currency with a fixed exchange ratio. Fixing 11 shares per share passed Rocket’s appreciation between March and October on to Mr. Cooper’s shareholders: the implied price rose 51% without renegotiating the agreement, by our arithmetic on the published figures. That is why a seller accepts stock rather than cash when it believes in the buyer’s thesis.
Quantified synergies. USD 500 million a year across costs and revenue is about 3.5% of the transaction value, by our calculation; the sources do not give a timeline.
Regulation as a closing condition. The FHFA did not block the transaction but imposed a concentration cap per servicer. In our reading, that cap sets the ceiling for Rocket’s next servicing acquisition and a precedent for any consolidation that depends on the government-sponsored enterprises.
What the market is signalling
In Mexico, mortgage lending grew 5.5% in 2025, the slowest pace in two decades, with a balance of MXN 1.5 trillion across 21 banks (Expansión, 25 May 2026). In our reading, origination and servicing in Mexico generally sit on the same balance sheet, with no servicing-rights market comparable to the US one; consolidation will come between digital originators and banks or neobanks seeking collateralised portfolios, as Klar’s purchase of Yave in May 2026 shows.
For founders of Mexican mortgage originators, Rocket confirms that the strategic buyer pays for the borrower relationship and recapture capacity, not only the balance. For warehouse lenders, a change of control requires consents best negotiated from the outset.
G2’s reading for a mandate
A mortgage originator preparing a sale should bring to the competitive process three things Rocket paid for: the recapture rate of its portfolio, the servicing cost per loan and a map of the regulatory and lender authorisations that condition the closing. With a stock currency, the term sheet must state whether the exchange ratio is fixed or carries a collar; otherwise the market sets the final price between signing and closing.
